1. AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Search Ventures Pty Ltd (ACN 639906353) ("we", "us", "our", or "Company"), the operator of Exchange Rates API and the website www.exchangeratesapi.com.au ("Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you do not have permission to access the Service.

2. SERVICE DESCRIPTION
2.1 What We Provide
Exchange Rates API provides programmatic access to foreign exchange rate data sourced from the Reserve Bank of Australia (RBA) through REST API endpoints. We aggregate, process, and deliver publicly available RBA exchange rate data in JSON format.
2.2 Data Source and Disclaimer
Important Notice: We source exchange rate data from the Reserve Bank of Australia but are NOT affiliated with, endorsed by, sponsored by, or officially connected to the RBA. We are an independent service provider that processes and delivers publicly available RBA data.
2.3 Financial Services Disclaimer
THIS SERVICE PROVIDES DATA ONLY. We do not provide financial advice, recommendations, or guidance. We are not licensed under the Australian Financial Services License (AFSL) regime. Exchange rate data should not be the sole basis for financial decisions. Always verify critical rates and consult appropriate licensed financial advisors for financial advice.
2.4 Service Features
The Service includes:
- Access to current AUD exchange rates (updated daily at 4 PM AEST)
- Historical exchange rate data (from January 2018)
- Currency conversion calculations
- REST API endpoints with JSON responses
- API key management dashboard
- Usage analytics and monitoring
3. AUSTRALIAN CONSUMER LAW
IMPORTANT: Nothing in these Terms excludes, restricts or modifies any consumer rights under the Australian Consumer Law (ACL) or any other consumer protection laws which cannot be excluded, restricted or modified by agreement. If any part of these Terms is found to be void, unenforceable, or illegal under the ACL or any other consumer protection laws, that part will be severed from these Terms and the remaining provisions will continue to apply.
4. ACCOUNT REGISTRATION
4.1 Account Requirements
To access the Service, you must:
- Be at least 18 years old
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4.2 API Keys
- Each account is issued unique API keys for authentication
- You are solely responsible for maintaining API key confidentiality
- API keys must not be shared, published, or exposed publicly
- Lost or compromised keys should be regenerated immediately
- We reserve the right to rotate or invalidate keys for security reasons
4.3 Account Restrictions
- One account per individual or legal entity
- Multiple accounts to circumvent usage limits are prohibited
- Accounts are non-transferable without written consent
4.4 Account Audit Rights
We reserve the right to audit your account usage for compliance with these Terms. Excessive, abusive, or suspicious usage patterns may result in immediate account suspension or termination without refund.
5. SUBSCRIPTION PLANS AND BILLING
5.1 Available Plans
Plans are available at www.exchangeratesapi.com.au.
5.2 Billing Terms
- All prices are in Australian Dollars (AUD) and include GST where applicable
- Subscriptions are billed monthly in advance
- Payment is processed on the same day each month
- Accepted payment methods: Credit/debit cards via Stripe
- Enterprise customers may arrange invoice billing (NET 30/60 terms)
5.3 Refund Policy
REFUNDS ARE STRICTLY LIMITED:
Refunds are ONLY available for:
- Service completely unavailable for 7+ consecutive days due to our fault
- We materially breach these Terms and fail to remedy within 10 days of written notice
- As required by Australian Consumer Law for major failures only
NO REFUNDS will be provided for:
- Change of mind or buyer's remorse
- Non-use or underutilization of the Service
- Misunderstanding of Service features or capabilities
- Exceeding rate limits or quota
- After ANY API usage in the current billing period
- Dissatisfaction with data accuracy (data provided as-is from RBA)
- Third-party service outages (RBA, Cloudflare)
- Force majeure events
Refund Process:
- Refund requests must be submitted within 30 days of the issue
- Contact us with detailed explanation
- Partial month refunds are at our sole discretion
- Processing time: 5-10 business days
5.4 Failed Payments and Account Suspension
- First failed payment: Immediate API access suspension
- Grace period: 24 hours to update payment method
- After 7 days non-payment: Account termination
- Data deletion: 30 days after termination
- No data export: Available only for accounts in good standing
- Collection costs: Customer bears all costs for debt collection
- Reactivation: Requires payment of all outstanding amounts plus reactivation fee
5.5 Cancellations and Downgrades
- Cancellations take effect at the end of the current billing period
- Downgrading takes effect at the next billing cycle
- No partial refunds for mid-cycle cancellations or downgrades
- Data may be removed if downgrading to a plan with lower limits
5.6 Price Changes
We reserve the right to modify pricing with 30 days advance notice via email. Continued use after price changes constitutes acceptance.
5.7 Enterprise Insurance Requirements
Enterprise customers with usage exceeding 100,000 requests per month must maintain professional indemnity insurance of at least $1,000,000 AUD and provide proof upon request.
6. ACCEPTABLE USE POLICY
6.1 Permitted Use
You may use the Service for:
- Financial calculations and currency conversions
- Integration into business applications
- Compliance and regulatory reporting
- Academic research and education
- Personal finance applications
- E-commerce platforms
- Any lawful commercial purpose
6.2 Prohibited Use
You must NOT:
- Resell, sublicense, or redistribute raw API data without authorization
- Create competing exchange rate API services
- Attempt to reverse engineer, decompile, or hack the Service
- Circumvent rate limits or authentication mechanisms
- Use the Service for illegal activities or fraud
- Misrepresent the source, accuracy, or timeliness of data
- Remove or obscure required RBA attribution
- Generate or distribute misleading financial information
- Use automated scripts to scrape or bulk download beyond API limits
- Share API keys across multiple organizations
- Violate any applicable laws or regulations
- Engage in any activity that damages our reputation or business
6.3 Rate Limiting
- Respect the rate limits for your subscription tier
- Implement appropriate caching (recommended up to 24 hours)
- Handle rate limit errors (HTTP 429) gracefully
- Monitor your usage to avoid service interruption
7. DATA USAGE AND ATTRIBUTION
7.1 RBA Data Attribution
When using our Service, you MUST include appropriate attribution to the Reserve Bank of Australia in any application, report, website, or system that displays or uses the exchange rate data.
Required attribution format:
"Exchange rate data sourced from the Reserve Bank of Australia"
or
"RBA exchange rates via Exchange Rates API"
7.2 Data Accuracy
- We provide RBA data "as is" without modification
- Data typically updates daily at 4 PM AEST (excluding weekends and NSW public holidays)
- We are not responsible for RBA data accuracy or timeliness
- Stale data indicators are provided when using fallback data
7.3 Caching Policy
You may cache API responses for up to 24 hours to optimize performance and reduce API calls.
8. SERVICE LEVEL AGREEMENT
Service Level Agreement details are provided in a separate document available at www.exchangeratesapi.com.au/sla. The SLA forms part of these Terms for paid subscription plans.

- Paid Plans: 99.9% monthly uptime guarantee with service credits

9. INTELLECTUAL PROPERTY
9.1 Service Content
All Service features, functionality, and technology remain our exclusive property. This includes but is not limited to:
- API design and implementation
- Documentation and code samples
- Website content and design
- Trademarks and branding
9.2 Exchange Rate Data
Exchange rate data is sourced from the Reserve Bank of Australia and remains subject to RBA's terms and conditions.
9.3 User Content
You retain all rights to your applications and content that integrate with our Service.
10. DISCLAIMERS AND LIMITATIONS OF LIABILITY
10.1 Service Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Data Disclaimer
WE DO NOT WARRANT:
- The accuracy, completeness, or timeliness of exchange rate data
- That the Service will be uninterrupted or error-free
- The suitability of data for any particular purpose
- That defects will be corrected
10.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for loss of profits, data, business, or opportunities
- These limitations apply regardless of legal theory
10.4 Financial Decisions
EXCHANGE RATE DATA SHOULD NOT BE THE SOLE BASIS FOR FINANCIAL DECISIONS. ALWAYS VERIFY CRITICAL RATES AND CONSULT APPROPRIATE FINANCIAL ADVISORS.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Search Ventures Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Violation of these Terms
- Violation of any rights of third parties
- Your applications or content
- Failure to maintain required insurance (Enterprise customers)
12. TERMINATION
12.1 Termination by You
You may terminate your account at any time through your dashboard. Termination takes effect at the end of your current billing period.
12.2 Termination by Us
We may suspend or terminate your account immediately for:
- Violation of these Terms
- Suspected fraudulent or illegal activity
- Non-payment of fees
- Extended inactivity (free accounts after 180 days)
- Actions harmful to other users or the Service
- Excessive or abusive usage patterns
- Failure to maintain required insurance (Enterprise)
12.3 Effect of Termination
Upon termination:
- Access to the Service ceases immediately
- No refunds for unused time (except as required by law)
- Data may be deleted after 30 days
- Outstanding fees become immediately due
- Sections that by nature should survive will remain in effect
13. DISPUTE RESOLUTION
13.1 Resolution Process
Disputes must be resolved in the following order:
- Good faith negotiation - 30 days minimum attempt
- Mediation - Via Resolution Institute (costs split equally)
- Court proceedings - Queensland courts (last resort)
13.2 Governing Law
These Terms are governed by the laws of Australia and the State of Queensland, without regard to conflict of law principles.
13.3 Jurisdiction
Any disputes shall be resolved exclusively in the courts of Queensland, Australia. You consent to the jurisdiction of these courts.
14. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to:
- RBA system outages or data unavailability
- Cloudflare or internet infrastructure failures
- Government actions or regulatory changes
- Natural disasters, war, terrorism, or civil unrest
- Pandemics or public health emergencies
- Labor disputes or material shortages
- Any other cause beyond reasonable control
15. PRIVACY
Your use of the Service is also governed by our Privacy Policy, available at www.exchangeratesapi.com.au/privacy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
16. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. We will provide notice of material changes via:
- Email to your registered address
- Dashboard notifications
- Website announcements
Continued use of the Service after changes constitutes acceptance of modified Terms.
17. UNFAIR CONTRACT TERMS
If any provision of these Terms is found to be an unfair contract term under the Australian Consumer Law or any other applicable law, that provision will be severed and the remaining provisions will continue in full force and effect. We regularly review these Terms to ensure compliance with unfair contract term laws.
18. GENERAL PROVISIONS
18.1 Entire Agreement
These Terms, together with the Privacy Policy and Service Level Agreement (for paid plans), constitute the entire agreement between you and Search Ventures Pty Ltd regarding the Service.
18.2 Severability
If any provision is found unenforceable, the remaining provisions shall continue in full force.
18.3 Waiver
Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
18.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
